This action is against the county treasurer of Milwaukee county and the Milwaukee County Industrial Development Corporation, a corporation organized pursuant to sec. 59.071, Stats. The action seeks a determination that ch. 90, Laws of 1965 (sec. 59.071) is unconstitutional and further seeks an injunction prohibiting the respondents from expending any public funds under the authority of the law in question. Sec. 59.071, Stats., is designated as the ""Industrial Development Law."" Under its provisions, counties are permitted to organize industrial development agencies pursuant to ch. 181 of the Wisconsin nonstock corporation law. The statute provides that corporations organized pursuant to the law must have members and directors of two classes: County members and public members. County members and directors must never be less than a majority of the members and directors and, upon dissolution, the assets of an industrial development corporation pass to the county.
